Global Deal Flow (“GDF,” “we,” “us,” or “our”) operates a platform that helps founders and investors discover one another. Please read this Disclaimer carefully before using the platform — it explains what GDF is, and just as importantly, what it is not.

01Not a Broker-Dealer or Investment Advisor

GDF is not a registered broker-dealer, investment advisor, or funding portal under the Securities Exchange Act of 1934, the Investment Advisers Act of 1940, or any state equivalent. We are not registered with the SEC, FINRA, or any state securities regulator in any of these capacities.

02No Compensation for Introductions or Investments

GDF does not receive transaction-based compensation of any kind. Specifically:

• We are not paid a commission, fee, or finder's fee if an investor discovers a deal through the platform
• We are not paid based on whether an investment is made, or on the size of any investment
• We do not take an equity stake, carried interest, or success fee in any listed company as a condition of listing
• Membership and subscription fees (where applicable) are for platform access only, and are not contingent on any investment outcome

03Discovery Only — No Transactions Happen on GDF

GDF is strictly a discovery and networking platform. No investment transaction of any kind is executed, processed, or settled through Global Deal Flow. Any decision to invest, any negotiation of terms, and any transfer of funds happens entirely outside the platform, directly between the parties involved.

• We do not hold, transmit, or have custody of investor funds
• We do not execute subscription agreements, SAFEs, or any other investment document on a party's behalf
• Document generation tools on GDF (such as SAFE templates) are provided for convenience only and do not constitute legal or financial advice, nor does their use constitute a transaction on the platform

04No Investment Advice or Recommendation

Nothing on GDF — including featured listings, search rankings, verification badges, or any content on the platform — constitutes investment advice or a recommendation to invest in any company. GDF does not evaluate the investment merit, valuation, or suitability of any listed opportunity for any particular investor.

05Risk of Investing in Private & Early-Stage Companies

Investing in early-stage and privately held companies is inherently high-risk. Users should understand, before using this platform, that:

• Private company investments are illiquid and may not be resold easily, if at all
• Early-stage companies frequently fail, and investors may lose their entire investment
• Valuations for private companies are not subject to public market pricing and may be speculative
• Past performance of any company, founder, or investor is not indicative of future results

Users should consult independent legal, tax, and financial advisors before making any investment decision, and should only invest amounts they can afford to lose.

06Listings Are Not Investment-Vetted

GDF reviews listings against our published Quality Standards — completeness, identity verification, and prohibited-content rules. This review is not an evaluation of investment quality, business viability, or the accuracy of any founder's claims about traction, revenue, or projections. A listing's presence on GDF, or any verification badge, is not an endorsement of the investment opportunity.

07Independent Service Providers

Attorneys, accountants, fund administrators, and other service providers discoverable through GDF are independent third parties. They are not employees, agents, or partners of GDF, and GDF is not responsible for the advice, services, or conduct of any service provider engaged through the platform.

08Your Compliance Responsibility

Founders raising capital through connections made on GDF are solely responsible for ensuring their offering complies with applicable securities laws, including any required exemptions (such as Regulation D), investor accreditation verification, and disclosure obligations. GDF does not determine which exemption applies to any offering and does not verify investor accreditation status on a founder's behalf.

09Limitation of Liability

To the fullest extent permitted by law, GDF and its affiliates disclaim all liability for any losses, damages, or claims arising from investment decisions made as a result of connections, information, or introductions made through the platform. Use of the platform, and any resulting investment activity, is entirely at the user's own risk.

10Jurisdictional Restrictions

GDF is not directed at residents of any jurisdiction where its use would be contrary to local law or regulation. Users are responsible for determining whether their use of the platform, and any resulting investment activity, is permitted under the laws of their jurisdiction.

11Changes to This Disclaimer

We may update this Disclaimer from time to time. Material changes will be reflected by updating the “Last Updated” date above. Continued use of the platform after changes take effect constitutes acceptance of the revised Disclaimer.
